Ohio-based franchise counsel covering FTC Franchise Rule compliance, FDD review and drafting, franchise agreements, and Ohio Business Opportunity Law.

Franchise Law in Ohio

Ohio is a disclosure-only state under the FTC Franchise Rule — meaning franchisors are not required to register their Franchise Disclosure Document with a state agency before selling franchises in Ohio. This makes Ohio one of the more accessible states for new franchisors to begin selling, but it does not mean Ohio franchise activity is unregulated.

Three bodies of law govern franchise transactions in Ohio:

1. The FTC Franchise Rule (Federal)

The FTC Franchise Rule requires every franchisor selling franchises in the United States to provide a compliant Franchise Disclosure Document to prospective franchisees at least 14 calendar days before any franchise agreement is signed or any payment is made. The FDD must follow a standardized 23-Item format. This Rule applies to every franchise sale in Ohio, regardless of the franchisor's home state.

2. Ohio Business Opportunity Law (ORC Ch. 1334)

Ohio's Business Opportunity Law regulates the sale of business opportunities in Ohio and applies to some franchise arrangements. Whether OBO requirements are triggered depends on factors including the amount of the initial payment, whether earnings representations are made, and the structure of the arrangement. Franchisors selling in Ohio should have an Ohio franchise attorney assess OBO applicability — the registration and disclosure requirements differ from the FTC Franchise Rule.

3. The Franchise Agreement

Ohio does not have a franchise relationship law protecting franchisees from termination or non-renewal, unlike states like California, Wisconsin, or New Jersey. In Ohio, the franchise agreement governs nearly every aspect of the franchisor-franchisee relationship. For Ohio franchisees in particular, careful agreement review and negotiation before signing is critical — there is no state law backstop.
